1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of AiLeadMs, a tenant-based AI lead management platform, including our website, dashboard, APIs, and related services (collectively, the "Service"), operated by Trebta Services Pvt. Ltd., a company registered in India, doing business as AiLeadMs at aileadms.com ("AiLeadMs", "Trebta", "we", "us", or "our").

By creating a tenant account, requesting a demo, or otherwise using the Service, you agree to be bound by these Terms on behalf of yourself and the organization you represent. If you do not agree, do not use the Service.

2. Description of Service

AiLeadMs provides a multi-tenant platform that lets organizations connect social media and advertising accounts, generate AI-assisted ad creatives (images and videos), configure and run budget-controlled ad campaigns with audience targeting, capture and attribute leads via UTM parameters, place automated IVR calls to leads and transcribe those calls, and monitor investment, lead volume, and success ratios through a dashboard.

Features, connected platforms, and usage limits vary by subscription plan and may change as we improve the Service. We will provide reasonable notice of material changes that reduce functionality on a paid plan.

3. Tenant Accounts & Eligibility

• You must provide accurate organization and contact details when requesting access; a unique Tenant ID is issued once your request is approved.
• You are responsible for maintaining the confidentiality of tenant credentials and for all activity that occurs under your tenant, including actions by your team members.
• You must be at least 18 years old and authorized to bind your organization to these Terms.
• We may suspend or refuse a tenant account if information provided is false, or if required verification cannot be completed.

4. Subscription Plans & Payment

Paid plans are billed in advance on a recurring basis (e.g., monthly) in Indian Rupees (₹) unless otherwise agreed in an enterprise contract. Fees are exclusive of applicable taxes unless stated otherwise.

Failure to pay may result in suspension or downgrade of your tenant. See our Refund & Cancellation Policy for billing, trial, and refund details.

5. Your Content & Campaign Responsibility

You retain ownership of the campaign content, audience data, and lead data you upload or generate through the Service ("Tenant Content"). You grant AiLeadMs a license to host, process, and transmit Tenant Content solely to provide the Service.

You are solely responsible for the accuracy, legality, and appropriateness of your campaigns, targeting criteria, and any AI-generated creatives you publish, including compliance with the advertising policies of each connected platform (Facebook, Instagram, WhatsApp, YouTube, LinkedIn, Google Ads).

6. AI-Generated Content

AiLeadMs' AI tools assist in generating campaign images, video, and copy suggestions based on inputs you provide. AI output may be imperfect or require review; you are responsible for reviewing and approving all AI-generated content before it is published in a live campaign.

You must not use AI generation tools to create content that is unlawful, infringing, deceptive, or that violates a connected platform's advertising or content policies.

7. IVR Calling, Recording & Transcription

The Service can place automated outbound calls (IVR) to leads you provide and generate a transcript of the resulting conversation for your review.

You are responsible for obtaining any consent required by applicable law before AiLeadMs places automated or recorded calls to a lead on your behalf, and for complying with telecom regulations applicable to your jurisdiction, including registration and Do-Not-Disturb / consent requirements in India (see our Acceptable Use Policy).

8. Third-Party Integrations

The Service integrates with third-party platforms (social networks, ad networks, messaging providers). Your use of those integrations is also subject to the third party's own terms and policies, over which we have no control.

We are not responsible for outages, policy changes, or account restrictions imposed by third-party platforms that affect your campaigns.

9. Intellectual Property

The Service, including its software, design, and underlying AI models, is owned by AiLeadMs/Trebta and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or proprietary technology outside of your license to use the Service.

10. Termination

You may cancel your subscription at any time from your dashboard or by contacting us; access continues until the end of the current billing period unless otherwise stated in our Refund & Cancellation Policy.

We may suspend or terminate a tenant account for breach of these Terms, the Acceptable Use Policy, non-payment, or if required by law, with notice where reasonably practicable.

11. Disclaimers & Limitation of Liability

The Service is provided "as is" and "as available." We do not guarantee specific campaign results, lead volumes, conversion rates, or IVR call outcomes, as these depend on factors outside our control (including third-party platform behavior and your own campaign inputs).

To the maximum extent permitted by law, AiLeadMs and Trebta will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or lost leads, arising from your use of the Service.

12. Indemnification

You agree to indemnify and hold AiLeadMs harmless from claims arising out of your Tenant Content, your campaigns, your violation of these Terms, or your violation of applicable law, including telecom and advertising regulations.

13. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles, and disputes will be subject to the exclusive jurisdiction of the courts located in India, unless a separate enterprise agreement specifies otherwise.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via the dashboard or email, and continued use of the Service after changes take effect constitutes acceptance.
